Terms of Service

1. Agreement to Terms

By accessing or using nCrypt Malaysia's services ("Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our Services.

2. Services Description

nCrypt provides cybersecurity services including but not limited to:

• Penetration testing and security assessments
• Managed security services (SOC, MDR)
• Incident response and digital forensics
• Compliance consulting and assessments
• Security training and awareness programs

3. Client Responsibilities

When engaging our services, you agree to:

• Provide accurate and complete information about your systems and scope
• Obtain proper authorization for security testing on your systems
• Not use our services for any illegal purposes
• Maintain confidentiality of assessment reports and findings
• Notify us promptly of any changes to scope or authorization

4. Authorization and Consent

For penetration testing and security assessment services, you represent and warrant that:

• You have legal authority to authorize testing on all systems in scope
• You have obtained all necessary approvals from third parties (cloud providers, hosting companies, etc.)
• Testing will not violate any laws, regulations, or third-party agreements
• You accept responsibility for any consequences of testing activities

5. Confidentiality

Both parties agree to maintain strict confidentiality of:

• Assessment reports and findings
• Vulnerability information discovered during testing
• Business and technical information shared during engagements
• Pricing and commercial terms

Confidentiality obligations survive termination of services for a period of 5 years.

6. Intellectual Property

nCrypt retains ownership of all methodologies, tools, and intellectual property used in delivering services. Clients receive a license to use deliverables (reports, recommendations) for internal purposes only.

7. Limitation of Liability

To the maximum extent permitted by law:

• nCrypt's total liability shall not exceed the fees paid for the specific service
• We are not liable for indirect, incidental, or consequential damages
• We are not liable for damages resulting from client's failure to remediate identified vulnerabilities
• We are not liable for third-party breaches or attacks on client systems

8. Indemnification

You agree to indemnify and hold harmless nCrypt, its officers, employees, and agents from any claims, damages, or expenses arising from:

• Your breach of these terms
• Your misuse of our services
• Unauthorized testing or activities
• Your violation of any third-party rights

9. Payment Terms

• Fees are as specified in the service agreement or proposal
• Standard terms: 50% upon signing, 50% upon delivery
• Invoices are due within 30 days unless otherwise specified
• Late payments may incur interest at 1.5% per month
• All fees are in Malaysian Ringgit (RM) unless otherwise stated

10. Termination

Either party may terminate services with 30 days written notice. Upon termination:

• Client shall pay for all services rendered up to termination date
• Both parties shall return or destroy confidential information
• Confidentiality obligations continue post-termination

11. Governing Law

These terms are governed by the laws of Malaysia. Any disputes shall be resolved through arbitration in Kuala Lumpur under the Asian International Arbitration Centre (AIAC) rules.
